Terms of Service

Welcome to Structia. These Terms of Service ("Terms") govern your use of the website structia.io and any services provided by Structia LLC ("Structia," "we," "us," or "our"). By accessing our website or using our services, you agree to be bound by these Terms.

1. Services Overview

Structia provides business automation consulting and implementation services, including but not limited to:

  • Business process audits and assessments
  • CRM setup and configuration
  • Lead capture and follow-up automation
  • Scheduling and appointment automation
  • Dashboard and reporting setup
  • Marketing automation implementation
  • AI chatbot configuration
  • Ongoing maintenance and optimization

The specific scope, deliverables, and timeline for each engagement will be defined in a separate service agreement or proposal.

2. Free Audit

Our free business automation audit is provided at no cost and with no obligation. The audit includes an analysis of your current operations and a report with recommended automations. The audit is informational and does not constitute a contractual commitment by either party. We reserve the right to limit or discontinue the free audit offer at any time.

3. Client Responsibilities

When engaging our services, you agree to:

  • Provide accurate and complete information about your business and operations
  • Grant timely access to necessary accounts, platforms, and tools required for implementation
  • Respond to communications and requests within reasonable timeframes
  • Designate a point of contact authorized to make decisions on behalf of your business
  • Review and approve deliverables within agreed timelines

Delays caused by failure to provide access, information, or approvals may result in adjusted timelines. If required access is not provided within 7 business days of request, we reserve the right to pause the project until access is granted.

4. Pricing and Payment

Our pricing is based on the service packages listed on our website or as specified in your individual proposal. Key payment terms:

  • All prices are quoted in U.S. dollars (USD)
  • Payment terms and schedule will be specified in your service agreement
  • Late payments may result in suspension of services or maintenance
  • Prices are subject to change; however, agreed pricing in a signed proposal will be honored

5. Scope and Revisions

Each project has a defined scope outlined in the service agreement. Work outside the agreed scope may require additional fees and timeline adjustments. We will communicate any scope changes before proceeding with additional work.

6. Intellectual Property

Your content: You retain full ownership of your business data, content, branding, and any materials you provide to us.

Our work: Upon full payment, you receive full ownership and usage rights of all custom automations, workflows, dashboards, and configurations built specifically for your business.

Our tools and templates: Structia retains ownership of proprietary templates, frameworks, processes, and methodologies used in delivering services. These may be reused across clients in a non-identifiable manner.

7. Third-Party Tools and Platforms

Our services often involve third-party tools and platforms (e.g., Make.com, Airtable, Calendly, Manychat, Google Workspace). You acknowledge that:

  • You are responsible for maintaining your own accounts and subscriptions with these platforms
  • We are not responsible for changes, outages, pricing changes, or policy updates made by third-party providers
  • Your use of third-party tools is subject to their respective terms of service

8. Service Level and Maintenance

For clients with active maintenance plans:

  • We provide monitoring, adjustments, and optimization as described in your plan
  • Support response time is within 4 business hours for maintenance clients
  • Maintenance plans are billed monthly and can be canceled with 15 days' written notice
  • Maintenance does not cover issues caused by changes you or third parties make to the systems without our involvement

9. Refunds and Cancellation

Due to the custom nature of our services:

  • Work already completed is non-refundable
  • If you cancel a project before completion, you are responsible for payment of work completed up to the cancellation date
  • We will provide all completed deliverables and documentation upon cancellation
  • If we are unable to deliver on agreed scope, we will refund the portion of payment corresponding to undelivered work

10. Confidentiality

We treat all client business information as confidential. We will not share, publish, or disclose your business data, operational details, or financial information to any third party without your written consent, except as required by law or as necessary to deliver our services through authorized third-party tools.

11. Limitation of Liability

Structia provides automation and consulting services to improve your business operations. However:

  • We do not guarantee specific revenue increases, lead volumes, or business outcomes
  • Results depend on multiple factors including your market, team adoption, and business conditions
  • Metrics referenced on our website (response times, conversion improvements, time savings) are targets based on typical results and are not guarantees
  • Our total liability for any claim arising from our services shall not exceed the amount you paid for the specific service giving rise to the claim

12. Indemnification

You agree to indemnify and hold Structia LLC, its founder, and contractors harmless from any claims, damages, or expenses arising from your use of the automations and systems we build, your violation of these Terms, or your violation of any third-party rights.

13. Disclaimer

Our services are provided "as is" and "as available." We make no warranties, express or implied, regarding the reliability, availability, or fitness for a particular purpose of our services or the third-party tools involved in their delivery.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Washington, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts located in Pierce County, Washington.

15. Changes to These Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated effective date. Continued use of our website or services after changes constitutes acceptance of the updated Terms.
